We offer a free 30-minute assessment to understand your needs. This does not constitute a binding agreement.

Project Agreement

Following the assessment and solution design phase, we will provide a detailed project proposal. Services commence only after both parties sign a formal agreement specifying scope, timeline, deliverables, and pricing.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your requirements
• Grant timely access to necessary data, systems, and personnel
• Review and provide feedback on deliverables within agreed timeframes
• Make payments according to the agreed schedule
• Designate a primary point of contact for project communication

5. Payment Terms

Payment terms will be specified in your project agreement. Typically:

• Milestone-based payments for larger projects
• Payment due within 14 days of invoice
• Late payments may incur interest charges
• Work may be suspended for overdue payments

6. Intellectual Property

Client Data

You retain all rights to your business data, processes, and proprietary information.

Custom Solutions

Upon full payment, you receive ownership of the custom application code developed specifically for your project.

Our Technology

We retain ownership of our proprietary tools, frameworks, methodologies, and reusable code components.

7. Confidentiality

We treat all client information as confidential and will not disclose it to third parties without your consent, except as required by law. We may use anonymized case studies for marketing purposes with your permission.

8. Warranties and Disclaimers

Service Warranty

We warrant that services will be performed with professional skill and care. We will correct any defects in our deliverables at no additional cost during the warranty period specified in your agreement.

Disclaimer

Services are provided "as is" except as expressly stated in your project agreement. We make no guarantees about specific business outcomes or ROI.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the fees paid for the specific service
• We are not liable for indirect, consequential, or incidental damages
• We are not responsible for data loss due to client system failures
• Liability limitations do not apply to gross negligence or willful misconduct

10. Project Changes and Cancellation

Scope Changes

Changes to project scope require written agreement and may affect timeline and pricing.

Cancellation

Either party may terminate with written notice. Client remains responsible for payment for work completed up to termination date.

11. Support and Maintenance

Ongoing support terms are defined in your project agreement. We typically provide launch week support, with options for continued maintenance and feature development.

12. Dispute Resolution

Any disputes will first be addressed through good-faith negotiation. If unresolved, disputes will be handled through arbitration or applicable jurisdiction courts as specified in your project agreement.

13. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, pandemics, or significant technology infrastructure failures.

14. Updates to Terms

We may update these Terms from time to time. Existing projects continue under their original agreement terms. New projects will be subject to current Terms.
